Terms of Service

1. Acceptance of Terms

By accessing or using the Service in any manner — including browsing the website, creating an account, submitting a Request for Quote (RFQ), or responding to one — you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

BreakerQuote is a marketplace platform that connects electrical parts buyers with verified suppliers, distributors, and surplus dealers. The Service allows buyers to post RFQs and receive competing offers from suppliers in real time.

BreakerQuote is not the seller of record for any parts or products. All transactions for physical goods are between the buyer and the supplier directly. We do not take title to any inventory, set prices for parts, or guarantee the availability, condition, or delivery of any product quoted through the platform.

3. Eligibility

To use the Service you must:

• Be at least 18 years of age.
• Be a business entity or an authorized representative of a business entity.
• Have the legal authority to enter into binding contracts on behalf of yourself or your organization.

By using the Service you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts that do not meet these criteria.

4. User Accounts

You must provide accurate, current, and complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at chat@breakerquote.com (ask for Zim) if you suspect unauthorized access to your account. BreakerQuote is not liable for losses caused by unauthorized account use.

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in activity that harms other users or the platform.

5. Buyer Conduct

As a buyer on the platform, you agree to:

• Post accurate and complete RFQs, including correct part numbers, quantities, and required specifications.
• Respond to suppliers in good faith when quotes are received.
• Not submit fake, duplicate, or spam RFQs.
• Not use the platform to harvest supplier contact information for use outside of BreakerQuote.
• Not circumvent the platform to conduct transactions initiated through BreakerQuote outside of the platform in order to avoid fees.

6. Supplier Conduct

As a supplier on the platform, you agree to:

• Respond to RFQs accurately and in good faith, providing truthful descriptions of part condition, availability, and lead times.
• Not submit misleading product descriptions, altered manufacturer part numbers, or misrepresented conditions (e.g., listing used parts as new).
• Honor quotes you have submitted for the duration stated in the quote.
• Maintain compliance with all applicable laws related to the sale and export of electrical components.
• Not contact buyers outside the platform for transactions initiated through BreakerQuote in order to circumvent subscription fees.

7. Prohibited Activities

You agree not to engage in any of the following while using the Service:

• Harassing, threatening, or abusing other users.
• Committing fraud or impersonating another person or entity.
• Infringing on the intellectual property rights of BreakerQuote or any third party.
• Scraping, crawling, or data-mining the platform without express written permission.
• Attempting to gain unauthorized access to any part of the Service or its underlying systems.
• Uploading malicious code, viruses, or any content designed to disrupt or damage the platform.
• Circumventing or attempting to circumvent subscription fees or access controls.
• Using the Service for any unlawful purpose or in violation of any applicable regulation.

Violation of these prohibitions may result in immediate account termination and, where applicable, legal action.

8. Subscription and Fees

Certain features of the Service require a paid subscription. Subscription plan details, pricing, and included features are described on the BreakerQuote pricing page and are subject to change with reasonable notice.

Subscriptions auto-renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

To cancel your subscription, log into your account settings or contact us at chat@breakerquote.com (ask for Zim). Cancellation takes effect at the end of the current billing period. For refund eligibility, see our Refund Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

BreakerQuote does not warrant that: (a) the Service will be uninterrupted or error-free; (b) defects will be corrected; (c) the Service is free of viruses or harmful components; or (d) any parts quoted through the platform will meet your specifications or be free from defects. All parts-related warranties, if any, are solely between the buyer and the supplying party.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BREAKERQUOTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BREAKERQUOTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless BreakerQuote and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit through the platform.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and you consent to personal jurisdiction in such courts.
